Fiona is an Associate in our corporate team and advises on mergers and acquisitions, funding rounds and corporate governance. Fiona regularly advises on and negotiates complex commercial contracts.

Fiona acts for a range of clients from start-up companies to large public companies, across sectors including technology, food & beverage, natural resources and charities.

Fiona regularly acts in M&A transactions on the buy-side and sell-side, and in relation to MBOs. Fiona has advised on the structuring of complex inter-company reorganisations.  Fiona advises on joint ventures.

She has advised on stock market admissions, including on AIM, and on regulatory compliance. She had advised in detail on the Market Abuse Regulation and in particular on PDMR dealings, market abuse, insider dealings, safe harbour and share buy backs. Fiona advises on Compliance Statements and AGMs for clients each year.  She regularly advises on directors’ duties and shareholders’ rights.

Fiona works with companies on venture capital and venture debt funding rounds with angel investors, venture capital investments and investments from Enterprise Ireland.  Fiona acted in one of the few crowd-funding investment rounds in Ireland.

A core area of Fiona’s practice is working with shareholders on drafting Shareholders’ Agreements and constitutions.  Fiona often advises companies on the creation and implementation of Employee Share Option Plans (ESOPs).

Fiona provides strategic and commercial advice to clients on the licensing of technology and the commercialisation of intellectual property including drafting and reviewing licensing and distribution agreements.  She advises on commercial contracts including Franchise Agreements, Manufacturing Agreements, Software Licensing Agreements, Service Level Agreements, Terms and Conditions of Sale, Supplier Agreements, Non-Disclosure Agreements, Agency Agreements and Partnership Agreements.  Fiona has advised clients on the Commercial Agents Directive and has advised on potential competition law issues in particular on the application of European and Irish legislation on vertical agreements (often distribution agreements where they include vertical restraints) and the application of the block exemptions.  Fiona advises on compliance with GDPR.

Fiona has a BCL (Hons) Degree from University College Dublin and she attended Utrecht University in the Netherlands as part of an Erasmus programme.  Fiona was admitted to the Roll of Solicitors in Ireland in 2016 and was also admitted to the Roll of Solicitors in England and Wales in 2016.  Fiona holds a Certificate in Technology Law from the Law Society of Ireland.  She holds a Diploma in Construction Law from the Law Society of Ireland.

Fiona is a member of the Dublin Solicitors Bar Association and the World Association of Mining Lawyers.

Outside of work, Fiona is a volunteer with Aware.
