Change in status of Whitney Moore Law Firm to a Limited Liability Partnership

As and from 11 February 2021, Whitney Moore is operating as a limited liability partnership under the name ‘Whitney Moore LLP’.

Limited Liability Partnership (LLP)

Under the Legal Services Regulations Act 2015, a partnership of solicitors may apply to the Legal Services Regulation Authority to operate as a limited liability partnership and to operate with limited liability. This does not create a new legal entity but rather authorises existing partnerships of solicitors to limit their personal liability. Unlike other commercial entities (including other categories of professional advisers), partners in law firms in Ireland have been personally liable for all of the debts and liabilities of their law firm. The law recently changed and now permits the partners in a law firm to limit their personal liability in the manner set out in this letter.

Information we are required to provide to you

As and from 11 February 2021, Whitney Moore has been authorised by the Legal Services Regulatory Authority to operate, and is operating, as a limited liability partnership, Whitney Moore LLP.

From 11 February 2021, as set out in section 123 of the Legal Services Regulation Act 2015 (subject to the exceptions listed in section 123 of the Act), a partner in Whitney Moore LLP has no personal liability for any debts, liabilities or obligations which are incurred for the purpose of carrying on the business of the LLP (whether these are liabilities of the LLP, of himself or herself, of another partner or partners in the LLP or of any employee, agent or representative of the LLP) and however such liability may arise.

The provisions noted above relate only to the personal liability of partners and do not prevent or restrict the enforcement against the property of Whitney Moore LLP of any debt, liability or obligation.

As and from 11 February 2021 the Partnership Act 1890 continues to apply to the Whitney Moore LLP to the extent that it is not inconsistent with Chapter 3 of Part 8 of the Legal Services Regulation Act 2015.
